These Terms are a binding contract between you and Onix AI LLC. They govern your use of the Onix service. Please read them carefully — Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), and Section 17 (Binding Arbitration & Class-Action Waiver) affect your legal rights.
These Terms of Service (the "Terms") form a legally binding agreement between you ("you," "your," or "Customer") and Onix AI LLC, a limited liability company organized under the laws of the State of Florida ("Onix," "we," "us," or "our"), governing your access to and use of the Onix websites, applications, AI agents, and related services (collectively, the "Service").
By creating an account, checking the box to accept these Terms, clicking "subscribe" or "pay," or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Refund & Cancellation Policy, each incorporated by reference. If you do not agree, do not use the Service.
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.
Onix provides a managed AI operator ("your agent") that your organization interacts with through a messaging platform (such as Slack) and that can, with your authorization, connect to and take actions within third-party applications you link (such as email, calendar, and case- or practice-management tools). The Service uses large language models and other automated systems to generate responses and perform tasks on your behalf. The specific features available depend on your engagement and may change over time.
No legal advice; not a law firm. Onix is not a law firm, does not provide legal advice or legal representation, and no attorney-client relationship is created with Onix or with your agent. The Service performs administrative and operational tasks — such as intake capture, scheduling, follow-up, routing, and reporting — under your supervision. Your agent does not evaluate the merits of a claim, advise on the law, or exercise legal judgment. You remain solely responsible for the practice of law, for supervising all outputs, for your professional and ethical obligations (including those relating to confidentiality, conflicts, unauthorized practice, and advertising), and for any communication sent to a client or prospective client.
The Service is powered by artificial intelligence, which is probabilistic and imperfect. AI can and does produce output that is inaccurate, incomplete, outdated, biased, or entirely fabricated ("hallucinated"), even when it appears confident and correct.
You acknowledge and agree that:
When you connect a third-party account or instruct your agent, you authorize the agent to access those accounts and to take actions on your behalf — which may include, for example, reading, drafting, sending, or organizing messages; creating or modifying calendar events; and interacting with other services you connect. Some actions may be taken automatically by the agent in the course of carrying out your requests.
You are solely and fully responsible for all activity that occurs through your account and your agent, including any action the agent takes — whether or not you specifically directed that action, and including actions that are mistaken, unintended, or produce undesirable results.
You agree to supervise your agent, to grant it only the access you are comfortable with, and to promptly review its actions. You may revoke the agent's access to any connected account at any time. To the maximum extent permitted by law, Onix is not liable for any action the agent takes within the permissions you have granted, or for any consequence of such action (including emails sent, messages posted, appointments made or cancelled, data changed or deleted, or communications with third parties).
Do not use the Service, and do not permit your agent to act, in any situation where an error, delay, or omission could result in death, personal injury, or serious physical, financial, legal, or environmental harm ("high-risk uses").
You are responsible for maintaining the confidentiality and security of your account, your messaging platform, and any connected accounts, and for all activity under them. Notify us promptly at hello@onix.bot of any unauthorized use. You must provide accurate information and keep it current.
The Service relies on and interoperates with third-party platforms and providers, including but not limited to the messaging platform you use (e.g., Slack), AI model providers, application-connection providers, payment processors, email providers, and hosting providers. Your use of those third-party services is governed by their own terms and privacy policies, and Onix is not responsible for them.
Messaging platforms are not end-to-end encrypted for automated agents. Messages and files you exchange with your agent pass through the messaging platform's and our providers' systems in order to function. Do not send information through the Service that you are not permitted to share with those providers or that you are not comfortable being processed by automated systems.
You agree not to, and not to permit your agent or anyone else to:
We may investigate and take any action we deem appropriate for a violation, including suspending or terminating your access, without liability.
Paid plans are billed in advance on a recurring subscription basis (e.g., monthly) at the prices shown at checkout, plus any applicable taxes. Your subscription automatically renews at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal. You are responsible for all applicable taxes. We may change prices and plan features prospectively; we will provide reasonable notice, and changes take effect at your next renewal. Billing, cancellation, and refunds are governed by our Refund & Cancellation Policy.
The Service, including its software, models, prompts, designs, and content (excluding Your Content), and all intellectual property rights therein, are and remain the exclusive property of Onix and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own internal purposes during your subscription. All rights not expressly granted are reserved. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation.
"Your Content" means the messages, files, instructions, and data you submit to the Service or that the agent accesses from accounts you connect. You retain ownership of Your Content. You grant Onix a worldwide, non-exclusive license to host, process, transmit, and display Your Content, and to share it with the third-party providers described in our Privacy Policy, solely as needed to provide, secure, and improve the Service and as permitted by that policy. You represent and warrant that you have all rights and consents necessary to submit Your Content and to authorize the agent's access to any connected account, and that doing so does not violate any law or third-party right.
The Service is provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by law, Onix and its suppliers disclaim all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Onix does not warrant that the Service will be uninterrupted, secure, timely, error-free, or free of harmful components, that output will be accurate or reliable, or that defects will be corrected. You use the Service, and rely on any output, at your own risk.
To the maximum extent permitted by law, in no event will Onix or its members, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, and whether or not Onix has been advised of the possibility of such damages.
In no event will Onix's total aggregate liability arising out of or relating to the Service or these Terms exceed the greater of (a) the total amounts you paid to Onix in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the maximum extent permitted by law. The limitations in Sections 11 and 12 are a fundamental basis of the bargain between you and Onix.
You agree to defend, indemnify, and hold harmless Onix and its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content or any account you connect; (c) any action taken by your agent on your behalf or within permissions you granted; (d) your violation of these Terms or any law or third-party right; or (e) any communication or transaction between you and a third party facilitated by the Service.
Some features or the Service as a whole may be offered on a beta, trial, preview, or early-access basis. Such offerings are provided "as is" for evaluation, may be unstable or discontinued at any time, may have usage limits, and are excluded from any commitments. To the maximum extent permitted by law, they are provided with no warranties and with the limitations of liability in Section 12.
You may cancel at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause and with or without notice, including for any violation of these Terms or to protect the Service or other users. Upon termination, your license ends and we may delete Your Content in accordance with our Privacy Policy. Sections that by their nature should survive termination (including 3, 4, 9–13, 16–19) survive.
We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance. We may also add, change, or discontinue features of the Service at any time.
Please read this section carefully. It affects your legal rights, including your right to sue in court and to have a jury trial.
Before starting an arbitration, you agree to first contact us at hello@onix.bot and give us at least thirty (30) days to resolve the dispute informally.
Except for the exceptions below, you and Onix agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable consumer/commercial rules, rather than in court. The arbitration will be conducted in the State of Florida or, at your election, by telephone or video or based on written submissions. Judgment on the award may be entered in any court of competent jurisdiction.
You and Onix agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding. You and Onix each waive any right to a jury trial.
Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information. You may opt out of this arbitration agreement by emailing hello@onix.bot within thirty (30) days of first accepting these Terms, stating your name and that you opt out of arbitration.
These Terms and any dispute arising out of them are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and, with respect to arbitration, by the Federal Arbitration Act. Subject to Section 17, the state and federal courts located in the State of Florida have exclusive jurisdiction over any matter not subject to arbitration, and you consent to their jurisdiction and venue.
These Terms, together with the Privacy Policy and Refund & Cancellation Policy, are the entire agreement between you and Onix regarding the Service and supersede all prior agreements. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure). Notices to you may be provided through the Service or the email on file. Headings are for convenience only.
